vCIO Framework is a Michigan-based company. These Terms are governed by the laws of the State of Michigan.
All content made available through the vCIO Framework - including but not limited to framework documents, templates, playbooks, assessment tools, scoring rubrics, methodology guides, training materials, the vCIO Framework name, and all associated logos, marks, and visual identity - is the exclusive intellectual property of vCIO Framework and is protected by United States and Michigan state copyright, trademark, and trade secret laws, including the Michigan Uniform Trade Secrets Act (MUTSA), MCL 445.1901 et seq., and applicable federal law including the Defend Trade Secrets Act (DTSA), 18 U.S.C. Sec. 1836.
Nothing in these Terms transfers ownership of any intellectual property to you. All rights not expressly granted herein are reserved by vCIO Framework.
The vCIO Framework methodology - including its scoring systems, assessment rubrics, tiering models, account management processes, and proprietary frameworks - constitutes trade secret information under the Michigan Uniform Trade Secrets Act (MUTSA), MCL 445.1901-1910. This information derives independent economic value from not being generally known and is subject to reasonable measures to maintain its secrecy.
Unauthorized disclosure, misappropriation, or use of vCIO Framework trade secret information in violation of MUTSA may result in injunctive relief, damages (including unjust enrichment), and attorneys' fees under MCL 445.1903-1905. Willful and malicious misappropriation may result in exemplary damages up to two times actual damages. The statute of limitations for trade secret claims in Michigan is three years from the date of discovery of the misappropriation, pursuant to MCL 445.1907.
vCIO Framework grants you a limited, non-exclusive, non-transferable, revocable license to download and use our published content (templates, playbooks, assessment tools, and supporting documents) subject to the following conditions:
(a) Internal Use Only. Downloaded materials may be used solely for internal business operations within your MSP practice. You may present, adapt, and deploy these materials with your clients as part of delivering vCIO services.
(b) Attribution Required. Any use of downloaded materials - whether in client-facing presentations, internal documentation, or adapted deliverables - must include a visible attribution to vCIO Framework (e.g., "Powered by vCIO Framework" or "Based on the vCIO Framework methodology").
(c) No Redistribution. You may not redistribute, resell, sublicense, or publish downloaded materials to third parties as standalone products or in compilations without prior written consent from vCIO Framework.
(d) No White-Labeling. You may not remove, obscure, or replace vCIO Framework branding, logos, or attribution from any downloaded content and represent it as your own original framework methodology.
(e) Derivative Works. You may create internal adaptations of downloaded content for use within your own MSP practice. Any such derivative work must acknowledge the vCIO Framework as the source methodology and may not be distributed or commercialized.
The vCIO Framework name, logo, and all associated marks are common-law trademarks of vCIO Framework, protectable under Michigan law and applicable federal trademark statutes. Unauthorized use of these marks constitutes trademark infringement and unfair competition under applicable law.
You may display the vCIO Framework logo solely for attribution purposes - for example, in client-facing materials that use our framework - provided that:
(a) The logo is used unmodified, without alteration to its color, proportions, or design. (b) The logo is not used in any manner that implies endorsement, partnership, or affiliation beyond your licensed use of the framework. (c) The logo is not used in connection with any products or services that compete with vCIO Framework. (d) Logo use in any press release, marketing material, or public-facing content requires prior written approval from vCIO Framework.

The vCIO Framework methodology, templates, playbooks, and assessment tools are licensed to individual MSPs for use in delivering vCIO consulting services to their clients. Re-distribution or white-labeling of the framework as your own proprietary product is strictly prohibited without written consent from vCIO Framework.
Licenses are granted to the subscribing entity and are non-transferable. Use by affiliated entities, sister companies, or third-party contractors requires a separate license agreement.
THE VCIO FRAMEWORK AND ALL CONTENT, MATERIALS, AND TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE MICHIGAN AND FEDERAL LAW, VCIO FRAMEWORK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The vCIO Framework provides strategic guidance and operational methodology for MSP account management. It is not a substitute for professional legal, financial, insurance, or compliance advice. Implementation of risk management strategies, compliance programs, or client agreements should be reviewed by qualified professionals against your specific business circumstances and applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING MICHIGAN LAW, IN NO EVENT SHALL VCIO FRAMEWORK, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES - INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION - ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE VCIO FRAMEWORK, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
VCIO FRAMEWORK'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE FRAMEWORK SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO VCIO FRAMEWORK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Nothing in this limitation of liability shall limit or exclude liability for (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited under applicable Michigan or federal law.
vCIO Framework operates in compliance with the Michigan Consumer Protection Act (MCPA), MCL 445.901 et seq. We do not engage in unfair, unconscionable, or deceptive methods, acts, or practices in the conduct of trade or commerce. All representations regarding the vCIO Framework, its capabilities, and its content are made truthfully and in good faith.

Certifications are awarded based on completion of the required curriculum and passing of final evaluations. Certification does not guarantee specific revenue outcomes, client results, or business performance. vCIO Framework certifications are a recognition of methodology competency and do not constitute a professional license or credential regulated by any Michigan or federal authority.
Monthly subscriptions for playbooks and insights can be cancelled at any time through your account dashboard. No refunds are provided for partial months. Annual subscriptions are non-refundable after the first 14 days. Subscription fees, cancellation policies, and refund terms are disclosed prior to purchase in compliance with applicable Michigan law.
vCIO Framework reserves the right to terminate your license and access immediately upon any violation of these Terms. Unauthorized use of vCIO Framework intellectual property may result in civil remedies under Michigan and federal law, including injunctive relief, actual damages, unjust enrichment recovery, and attorneys' fees.
Under MUTSA (MCL 445.1905), vCIO Framework may seek attorneys' fees in the event of willful and malicious misappropriation of trade secrets. vCIO Framework actively monitors for unauthorized distribution and misappropriation of its content.
These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. The parties expressly agree that the Michigan Uniform Trade Secrets Act (MCL 445.1901 et seq.) and the Michigan Consumer Protection Act (MCL 445.901 et seq.) shall apply to the extent relevant.
Any disputes arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in the State of Michigan. You consent to personal jurisdiction and venue in Michigan courts for all such disputes. The statute of limitations for general contract claims in Michigan is six years under MCL 600.5807.
vCIO Framework reserves the right to update these Terms at any time. We will post the revised Terms on this page with an updated effective date. Continued use of our platform or downloaded materials following the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to updated Terms, you must discontinue use of the vCIO Framework and all downloaded materials.
These Terms constitute the entire agreement between you and vCIO Framework with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The failure of vCIO Framework to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
